When LCS Testing Group (hereinafter referred to as "The Company") conducts the required inspections and tests for the Client, these services shall be carried out in accordance with the following Terms. The Company also reserves the right to refuse to accept any Client's commission for testing without giving any reason:
- Scope of Services and Terms of Engagement.
1.1 The Company only provides services to certain Clients or organizations (hereinafter referred to as "the Client"). Unless authorized by the Client, no entity or individual has the right to give any instructions to the Company, especially regarding the scope of testing, delivery of reports, and certificates.
1.2 Upon acceptance of a Client's request, the Company will issue test reports (and/or certificates, hereinafter the same) that reflect its opinion within the scope of this Client's commission. Based on the Client’s request, the Company can generally provide test reports in any of these three forms: Chinese language, English language, or Chinese-English parallel texts (except in special circumstances, which are subject to the testing laboratory's explanation). The Client must provide sufficient and accurate test samples and related materials to the Company; otherwise, the Company assumes no responsibility for any errors in the certificates and/or reports. Test reports issued by the laboratory are provided to the Client in electronic format (PDF), and the Client who requires paper copies is kindly requested to print them out.
1.3 If the Client does not specify the methods or standards to be applied for the testing, the Company will select the appropriate and applicable ones. The Client can obtain more information about the testing methods by contacting the Company. In cases where a compliance judgment needs to be made based on testing values, if there are no relevant requirements in the related specifications, standards, and documents, and no special instructions from the Client, the inspections and test reports issued by the laboratory will use the full value determination. If the selected test method needs to be changed during execution due to technical reasons, regulation updates, or sample characteristics, the Company will promptly notify the Client and obtain his or her written consent (unless the change is minor and does not affect the test objectives and conclusions). If the Client disagrees with the change, the Company reserves the right to terminate the service, and the Client will be required to pay any incurred fees.
1.4 If the Client requires that the relevant sample be tested at the Client's or by any other third-party laboratories, the Company will only deliver the relevant test results on behalf of the Client and will not be responsible for their accuracy. The Company can only certify that the Client or any other third-party laboratories have conducted the relevant tests. In other words, the Company can only confirm that the correct sample has been tested and does not assume any responsibility for the accuracy of the test results.
1.5 If necessary, the Company may subcontract all or part of the testing services to qualified contractors. If the Client does not raise any objections to the above when submitting the application form to request testing services, they will automatically also agree to the above arrangements. The Company promises to subcontract services only to qualified subcontractors with appropriate qualifications and capabilities. Upon request, the Company will provide the names of main subcontractors (except for confidentiality or security reasons). The Company assumes ultimate responsibility for the work of its subcontractors. However, the Company also reserves the right to seek compensation from the subcontractors for losses caused by their intentional negligence or severe mistake.
- The Client’s Obligations
2.1 All materials, equipment, and other property subject to inspection and testing will be delivered to the Company at the Client’s own expense and in accordance with the Company's regulations. Upon completion of the relevant inspection and testing, the Client shall take the relevant materials or equipment away upon request from the Company. The Client is required to present valid identification when retrieving samples and sign the Company's returned-sample record or sample handover form. The risk and responsibility for sample transfer to the Client upon delivery by the Company to the Client or their designated carriers (written authorization required). If the Client arranges transportation on their own, they must ensure that relevant safety regulations are complied with. In any case, if the Client fails to remove the relevant materials or equipment within 4 weeks from the date of issue of the test report (if the materials are consumable, such as liquid and powder samples, the time limit is set to 2 weeks), the Company may discard the materials or equipment at its discretion without compensation to the Client.
2.2 Before or during the provision of services by the Company, the Client must comply with the following Terms:
a) Provide timely requests and sufficient information to enable the Company to provide effective services;
b) Provide the necessary equipment and personnel at the Company's request to enable the Company to provide services effectively;
c) Take all necessary actions to eliminate or remedy any issues that may hinder the Company from providing services;
d) Notify the Company in advance of any actual or potential dangers associated with the samples or the testing;
f) the Client shall ensure the safety of working conditions, sites, and facilities during the Company's on-site services;
g) Regardless of whether the Company has issued test reports or certificates or not, the Client must fully fulfill its obligations under the contract (such as a sales contract) signed with the third party. Otherwise, the Company shall not bear any liability to the Client.
2.3 The Client must ensure that the samples submitted for inspection are legal, authentic, and representative. If test reports are invalid due to sample defects (such as counterfeiting or tampering), the Client shall bear full responsibility, and all fees paid are non-refundable. Due to testing needs, the Company does not assume any responsibility for ensuring that samples from the Client are intact during or after testing. The Client voluntarily accepts the status of the samples provided by the Company during or after testing, and cannot make claims against the Company based on this.
2.4 If the Client intends to use the test reports issued by the Company for judicial or arbitration proceedings, the Client must clearly state this purpose before submitting samples to the Company for testing.
2.6 The Company accepts and archives samples on the condition that the samples have been insured by the Client, that the Client is responsible for losses caused by fire and any force majeure during the analysis or processing of the samples by the Company, and that no losses can be recovered from the Company or its employees, agents, or independent contractors.
2.7 The Client shall pay all fees related to the testing promptly on the date of invoices issued by the Company or on a specific date agreed in writing by the Company; otherwise, the Client will be required to pay interest (at the rate of 3% per month) from the date of the Company's invoice to the actual date of payment. The Client shall also pay all expenses incurred by the Company in recovering the outstanding amount, including legal fees.
2.8 For samples that are radioactive, infectious, highly toxic, explosive, highly corrosive, or highly-risky in other respect, or for testing purposes with special legal implications such as judicial proceedings, arbitration, certifications, or product registrations, the Client must clearly inform us of such in writing at the time of commission, which may involve additional fees for special handling, security, or expedited processing. If the Client fails to provide such information in advance, they will bear full responsibility for any additional expenses or losses incurred.
2.9 If samples submitted for inspection involve chemicals regulated by national laws and regulations, such as Regulations on the Administration of Precursor Chemicals and List of hazardous chemicals Liable to produce explosives, the Client must provide documentation proving that their purchase, use, or storage of the products is legal and complies with relevant regulations. The Company reserves the right to refuse samples of regulated chemicals without proof of compliance.
2.8 Concerning special handling of large battery and energy storage power supply samples, as with the potential safety risks and environmental protection requirements of large-capacity batteries (such as lithium-ion batteries, lead-acid batteries, etc.) and energy storage power supplies (such as portable energy storage devices, home energy storage systems, etc.), the Client must comply with the following regulations:
- The Client shall retrieve samples of large batteries or energy storage power supplies within 7 calendar days after the test reports have been issued. If samples are not retrieved within the deadline, the Company has the right to handle it in the following ways: (1) For samples that meet safety standards, the Company can store them on behalf of the Client, in the condition that the Client must pay a storage fee of XXX yuan per day (the specific amount will be determined by the storage cost); (2) For samples that have safety hazards (such as leakage, bulging, overheating, etc.) or have exceeded the valid storage period, the Company will professionally dispose of them in accordance with the Law of the People's Republic of China on the Prevention and Control of Environmental Pollution by Solid Waste and relevant regulations, and the disposal costs will be borne by the Client.
- The Client must ensure that samples submitted for inspection comply with relevant Chinese and international regulations on transportation, storage, and disposal (e.g., UN38.3, GB31241, etc.). If a safety incident (e.g., fire, explosion, contamination, etc.) occurs during storage or disposal due to defects in the samples, the Client shall bear full responsibility and compensation.
- Special Notice: If the Client requires the Company to assist in the disposal of discarded samples, they must submit a written application in advance and pay the disposal fee. The Company assumes no legal liability arising from the Client's failure to retrieve samples promptly or from improper disposal of samples.
3. Confidentiality and Intellectual Property
3.1 The Client shall ensure that the samples, technical information, testing requirements, etc. ("the Client’s Background Information") they provide do not infringe the intellectual property rights of any third party. The Client reserves all intellectual property rights of their background information. The Company will only use the information for the purpose of fulfilling the Contract.
3.1 The Company will handle and issue the relevant test reports to the Client in a confidential manner. Without the written consent of the Company, test reports shall not be partially reproduced (except for full text replication) for publicity or other purposes not authorized by the Company. After the Client receives the relevant test reports from the Company, they may display or transmit the test reports to their own Client, suppliers, or other related parties. Without affecting Terms 3.2 below, the Company will not engage in any discussion, correspondence, or disclosure of the contents of the test reports to any other parties without the Client's consent, unless required by relevant government agencies, laws, or court orders.
3.2 Unless the Client objects in writing when submitting the testing application form, the Company reserves the right to disclose the relevant testing documents and/or files to any third-party certification/accreditation bodies for review and other related purposes. The Company shall not be liable for such disclosure.
3.3 All legal property rights (including intellectual property rights) in any reports, certificates, or other materials generated during the provision of testing services by the Company shall belong to the Company.
4. Limitation of Liability and Disclaimer
4.1 Any documents recording the relationship between the Client and other parties (such as sales contracts, certificates of carriage, etc.) will be used by the Company as materials only and will not affect the scope of services or responsibilities entrusted by the Client.
4.2 The Company will not be liable for any loss caused by the Client's use of any test reports (and/or information in the communication) issued by the Company. The reports are solely responsible for the samples tested, and the results reflect only the sample conditions and the method standards used for the testing. It should not be quoted in part, taken out of context, or used for misleading purposes. It also should not be used for product certification, registration, or other applications requiring third-party approval without the written permission of the Company (unless the reports themselves indicate compliance with specific certification requirements). Users of this report should fully understand its limitations and scope of application.
4.3 Without affecting clause 4.1, the total amount of compensation the Company bears for any loss will not exceed 3 times the amount of the service fees that the Company may charge in connection with the recovery; the Company's liability for compensation will never include any indirect, incidental or consequential losses of any Client (i.e. damage or loss not immediately caused by the accident but resulting from it).
4.4 If the Company is unable to provide the testing services due to any factors beyond the Company's control, and the testing services have been commissioned or the relevant agreement has been agreed upon, the Client shall still pay the following fees:
a) All fees and expenses paid by the Company in connection with the testing services;
b) The agreed portion of the testing service fees or commissions in proportion to the testing services already provided by the Company; and the Company shall not be liable for any or all of the testing services that have not yet been completed.
4.5 The Company shall not be liable for any compensation in respect of claims unless they are made within one year from the date on which the services to which the services had been provided by the Company, or within one year from the date on which the services should have been provided by the Company.
4.6 The Client shall agree that the Company does not assume any liability for other parties for which the Client should be liable, despite having a contractual relationship with and receiving testing services from the Company. Furthermore, the Company is not an insurance underwriter or guarantor and will not assume any related liability.
4.7 Any claim by any other parties against the Company, its employees, agents or independent contractors for any loss or expense arising from the Company’s testing services or lack thereof, where the overall costs of claim in respect of such testing services exceeds the amount indicated in Clause 4.2, the Client shall compensate the Company to make up for the difference for any amount of the above-mentioned claims that exceeds the limit of compensation stipulated in the Clause 4.2.
4.8 The Client shall agree that the test reports obtained by the Client cannot be used as a basis for legal action against the Company.
4.9 When the Company receives a request from a Client, it may transmit the results of the relevant testing services via electronic media and will do its utmost to keep the Client's data confidential. However, the Client should note that electronic media transmission cannot guarantee that the information contained therein will not be lost, delayed, or intercepted by other parties. The Company will not be responsible for any leakage, error, or omission of any information contained therein caused by electronic media transmission. By choosing to receive reports electronically, the Client accepts all inherent risks of that method. The Company recommends using encrypted email or a secure portal for transmission. The Client is responsible for ensuring the security of their receiving systems and the accuracy of their email addresses.
5. Fees and Additional Terms
5.1 The Company's quotations/estimates are based on the initial information provided by the Client and its standard procedures. If the actual circumstances (such as sample complexity, testing difficulty, updated standards, or changes in the Client’s requirements) result in a significant increase in costs, the Company will promptly notify the Client and obtain written confirmation before proceeding. The Client has the option to accept the new quotation or terminate the service, while still being obligated to pay any incurred costs.
5.2 The Client shall pay all fees related to the testing promptly on the date of the Company's invoice or on a specific date agreed in writing by the Company. Failure to do so will result in the Client being required to pay interest (at the rate of 3% per month) from the invoice date to the actual date of payment. The Client shall also pay all expenses incurred by the Company in recovering the outstanding amount, including legal fees.
- The Client shall pay all fees in accordance with the invoice amount issued by the Company and the agreed payment period (usually within 30 days from the invoice date). - The Client who makes overdue payments is responsible for the following: interest at 3% per month on the unpaid amount; and all expenses incurred by the Company in recovering the outstanding balance (including attorney fees, litigation costs, etc.).
- For high-risk or high-cost projects, the Company may require the Client to pay an advance payment of no less than 50% of the total cost before the start of the service; otherwise, the Company reserves the right to refuse to provide said services.
- All fees are denominated and payable in RMB unless otherwise agreed in writing. International remittance fees shall be paid by the Client.

- The following fees are non-refundable once incurred: sample testing fees, fees incurred by developing a corrective measures plan, report preparation fees, and any amounts paid to subcontractors or suppliers.
5.3 Liability for breach of contract if the Client terminates the commission without reason:
- If the Client unilaterally terminates the commission without any reason after the testing service begins (not due to the fault of the Company or force majeure), the Client shall bear the incurred testing fees, sample handling fees, and other direct losses;
- The Company reserves the right to suspend the service upon receipt of a termination notice from the Client and to charge a late payment fee of 3% per month on the unpaid fees from the date of notification until all payments are settled.
5.4 Rules for handling service suspension for any reason:
- Suspension due to force majeure or special circumstances: If the service is suspended due to force majeure, such as natural disasters, government actions, epidemics, or sudden laboratory accidents (such as equipment failures and power outages), the Company shall promptly notify the Client and negotiate to postpone or terminate the service. If the Client chooses to terminate the services, the Company will refund the Client for the fees not actually incurred. However, the Client will still be responsible for the costs incurred (such as costs involving sample pretreatment and partial test data).
- If the services cannot continue due to the Client's failure to fulfill his or her obligations (such as failure to provide necessary information or samples not meeting the requirements), the Company has the right to suspend the service, while the Client will still be required to pay any fees incurred.
- Force majeure includes: war, strikes, network outages, and supply chain disruptions. The affected party must notify the other party in writing within 48 hours after the occurrence of such incidents.
5.5 The company reserves the right to add special Terms to all the above terms based on the specific circumstances of the inspection and testing services required by the relevant Clients (this term will take effect only after the Client receives the relevant notice from the Company).
5.6 Both parties are prohibited from soliciting or offering bribes (such as kickbacks, gifts) in any form.
6. Dispute Resolution and Applicable Law
6.1 In the event of any disputes, claims, breach, termination, or invalidity of this Agreement between the Company and the Client, the above Terms shall prevail over any other Terms previously agreed upon orally or in writing by the parties or their agents.
6.2 The above Terms shall be subject to the laws of the People's Republic of China. Any disputes arising from or in connection with the above Clauses shall be settled through friendly negotiation. If the negotiation fails to resolve the dispute within 30 days, both parties shall agree to submit the dispute to the Shenzhen Court of International Arbitration (SCIA) as a priority. The arbitration award shall be binding on both parties. The arbitration costs shall be borne by the losing party.
6.3 In the event of any discrepancy between the Chinese and English versions of the above Terms, the Chinese version shall prevail.
7. Data and Reports
7.1 The default validity period of the test report is 2-5 years (except for special industries). If the report needs to be reused after the expiration date, the Client is required to apply for review and pay the corresponding fees.
7.2 The original test data shall be kept for 6 years. After the expiration of this period, the Company has the right to destroy it.
8. Others
8.1 Under the authorization of the Client, the Company will deliver the report or certificate to the place designated by the Client in a discretionary manner (based on actual circumstances, industry practices, habits, or general practices).
8.2 Unless the Company actually conducts the sampling tests and states this fact in the relevant test report, the test report only applies to the samples that have been tested and does not apply to the large quantities of the relevant goods.
8.3 If the test report is used inappropriately by the Client, the Company reserves the right to withdraw the test report and take any appropriate measures.
8.4 The Company reserves the right to update the Terms and Conditions. The new Terms and Conditions will take effect 30 days after being posted on the official website.
